AI Compliance Vendor Independence: Avoiding Lock-In (2026)
How to evaluate AI compliance vendors for data portability, contract exit terms, and architectural lock-in risk. A ten-question diligence rubric, five lock-in vectors, and category-specific guidance.

Buying an AI compliance platform is a multi-year decision. The platform you pick this year will hold your model inventory, your conformity assessments, your bias-audit evidence, your incident logs, and the workflow records that will be inspected if a regulator ever asks. Switching vendors mid-program is expensive, slow, and — if your contract is poorly written — sometimes impossible without rebuilding the entire evidence base from scratch.
This guide is for procurement teams, GRC leads, and AI governance owners who want to evaluate AI compliance vendors with the same rigour they apply to any other multi-year SaaS commitment: with eyes open about lock-in, with contract language that gives them a clean exit, and with a working understanding of what "data portability" means when the data in question is regulatory evidence.
The framing is not adversarial. Most vendors in this space are honest; many are excellent. But every vendor is incentivised to make their platform sticky, and most procurement teams sign agreements that quietly waive their leverage on day one.
Why AI compliance vendor lock-in is different
SaaS lock-in is a familiar topic. The classic concerns — proprietary data formats, integration surface area, embedded workflows, sunk training costs — all apply here. Three additional pressures make AI compliance lock-in harder to escape than typical SaaS lock-in.
Evidence is regulatory artefact, not just data. Under the EU AI Act Article 12, high-risk AI systems must keep automatically generated logs for the lifetime of the system or at least six months. ISO/IEC 42001 Annex A.7 requires documented evidence of risk management processes. NYC Local Law 144 requires bias-audit summaries to be published and retained. The platform that holds this evidence is not just a vendor — it is a custodian of records that may be inspected. If you cannot extract those records in a usable form, you may have to recreate them, which can mean re-running historical analyses you no longer have the raw inputs for.
Workflow lock-in compounds because compliance work is procedural. A risk assessment is not just a document; it is a sequence of approvals, evidence attachments, version comments, and reviewer signatures. The procedural metadata is the audit trail. Migrating that to another tool — not just the final document but the chain of decisions that produced it — is structurally hard. Many platforms do not export this metadata at all.
Custom controls and frameworks are vendor-shaped. Every governance platform models the EU AI Act, NIST AI RMF, and ISO/IEC 42001 differently. Their internal control libraries are not interchangeable. If your team has spent two years authoring a custom control set tailored to your business, the migration cost includes re-mapping every control to the new vendor's ontology and re-running the evidence-collection workflows.
The combined effect: an AI compliance platform that holds three years of your evidence is much harder to replace than a CRM that holds three years of your sales pipeline.
The five lock-in vectors you must evaluate
A useful diligence framework looks at five distinct vectors. Score each vendor on each vector before signing.
1. Data portability and export quality
Ask for a sample export of every record type the platform stores: risk assessments, control evidence, model inventory entries, incident reports, audit reports, FRIA documents, training records. The questions to ask:
- Does the export include the full version history and approval chain, or only the latest version?
- Are attachments (PDFs, screenshots, evidence files) included with their metadata, or only as filenames?
- Is the export in a machine-readable open format — JSON, CSV, OSCAL — or in a vendor-proprietary structure?
- Are control mappings (e.g. "this evidence satisfies EU AI Act Art. 9 risk management") preserved?
- Can you trigger an export yourself or do you need to file a support ticket?
The NIST AI RMF Playbook recommends that organisations "maintain copies of records in formats that survive vendor transitions." That is the bar.
2. Standards-aligned evidence formats
Some vendors export evidence in OSCAL (Open Security Controls Assessment Language), the NIST-maintained format for control catalogs, profiles, and assessment results. OSCAL was designed precisely for portability — it lets one tool's component definitions, control implementations, and assessment results be ingested by another tool. As of 2026, OSCAL adoption in AI governance platforms is uneven. The FedRAMP automation initiative treats OSCAL as the long-term path, and several federal-focused vendors have implemented it; commercial vendors lag.
Other open formats matter for narrower record types: STIX 2.1 for threat-intelligence records, SARIF for security-test results, CycloneDX ML-BOM for AI bill-of-materials data, and SPDX 3.0 AI Profile for the same.
If a vendor cannot export to any open format, your migration path has to go through CSVs and JSON dumps that you will need to re-shape yourself.
3. API surface and read access
Lock-in is not only about export at exit — it is also about whether your team can run analyses outside the vendor's UI during the engagement. A platform with a comprehensive read API (model inventory, controls, evidence, incidents, audit logs) lets you build your own backups, your own dashboards, and your own evidence-of-record duplicates. A platform with no API or with a narrow read surface concentrates risk on the vendor's continued operation.
Useful diligence questions:
- Is there a documented public API covering all record types?
- Are API endpoints rate-limited in ways that make full exports impractical?
- Does API access cost extra?
- Are webhook events available so you can mirror records in real time to your own warehouse?
4. Contractual exit terms
Most enterprise SaaS contracts include data-return and transition-assistance clauses, but the boilerplate is not always strong enough for AI compliance. Specific clauses to negotiate:
- Data return on termination. Vendor must provide a complete machine-readable export within a defined window (30 days is common; insist on no more than 60). The export must include all customer data including derivative records and metadata.
- Transition assistance. Vendor must provide reasonable assistance for migration during a defined transition period at the same rates as the most recent contract year. The SIIA Model SaaS Agreement and similar industry templates include transition clauses worth referencing.
- Data deletion certification. Vendor must certify deletion within a defined window after transition is complete, with an audit-log of deletion.
- Source code escrow for critical custom integrations. If the vendor has built custom integrations or data transformations specific to your account, escrow the relevant code with a third party such as Iron Mountain Technology Escrow or Praxis Technology Escrow.
- No-grow clauses against post-termination IP claims on customer evidence. Some vendors retain rights to use anonymised customer data for benchmarking; the contract should let you opt out.
- Survival of access rights. If the vendor terminates your subscription for non-payment, your read-only access to existing evidence should survive long enough for orderly export.
5. Architectural choices that reduce concentration risk
Some architectural patterns reduce lock-in by design:
- Bring-your-own-storage (where evidence files live in your S3/Azure Blob/GCS bucket and the vendor stores only metadata).
- Bring-your-own-LLM (where the vendor uses your own OpenAI or Anthropic credentials rather than reselling LLM capacity), which lets you switch model providers without switching the governance platform.
- Open-source agents or connectors that you can run independently of the vendor.
- Standards-based control catalogs that ship with public mappings rather than proprietary ones.
These do not eliminate lock-in but they reduce its surface area.
A scored diligence template
The following ten-question rubric can be added to any RFP. Score each vendor 0–2 (no — partial — yes). A score below 12 should trigger a contract-leverage discussion before signing.

| 10 | Is source-code escrow available for custom integrations? | Common in regulated industries, often forgotten in AI procurement. |
This rubric is intentionally austere. Most vendors will score in the middle band. Use that as bargaining leverage.
Vendor categories and their typical lock-in profiles
Different categories of AI compliance tooling have different lock-in profiles. The diligence emphasis shifts accordingly.

None of these replace a commercial governance platform for full programme management; all of them produce evidence that is portable by default.
What "good" looks like
A vendor evaluation that ends with confidence in independence usually has three properties:
- The team has actually run an export and inspected it. Not "the docs say it exports" — the team has a working JSON/CSV/OSCAL bundle from a sandbox tenant.
- The contract reflects diligence findings. Where the vendor scored partial on the rubric, the contract has additional commitments — transition-assistance hours, escrow, data-deletion certification — to compensate.
- The architecture has redundancy. Critical evidence is mirrored to your own storage; key reports are exported to your data warehouse on a schedule.
This is more work than typical SaaS procurement. It is roughly proportionate to the cost of replacing the platform mid-programme.

Bottom line
AI compliance vendor independence is a contract problem, an architecture problem, and a procurement-discipline problem. The vendors who will earn the highest scores against the ten-question rubric are not the ones with the slickest demos — they are the ones who can produce a complete, machine-readable export of a sandbox tenant within forty-eight hours of being asked.
If a vendor cannot do that, you are not evaluating a partner; you are evaluating a custodian. Price the custodianship into the deal.
